1. Who We Are & Acceptance

These Terms of Service ("Terms") are a contract between RioBlocks ("RioBlocks," "we," "us," "our"), the operator of AfterPic, and you ("you," "user"). By accessing or using our websites or mobile apps (the "Service"), you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

Age. You must be 18 years of age or older and the age of majority in your jurisdiction. If you are under 18, you may use the Service only with the direct supervision of a parent or legal guardian who agrees to be bound by these Terms on your behalf.

2. Description of Service

RioBlocks operates AfterPic, an AI-powered image generation platform that allows you to upload reference images, craft prompts, and receive new creative outputs. The Service is provided on an "as is" basis, and while we work to keep it reliable, we cannot guarantee uninterrupted availability.

3. Your Account

3.1. Account Creation.

To use most features of the Service, you must create an account. We use third-party authentication providers, such as Google Sign-In and Telegram Sign-In, to create and access your account. When you use such a provider, an AfterPic account is automatically created for you using your profile information. You agree that you are subject to the terms and privacy policies of that third-party provider.

When you sign in with Google, we store: (i) the link to your publicly available profile picture, (ii) your email address, and (iii) your name as provided by Google.

When you sign in with Telegram, we store: (i) the link to your publicly available profile picture, (ii) your Telegram handle, and (iii) your name as provided by Telegram.

3.2. Account Responsibility.

You are responsible for all activity that occurs under your account. You must keep your account credentials secure. We may suspend or terminate your account if we suspect a violation of these Terms, fraudulent or illegal activity, or any risk to our Service or other users.

4. License to You

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service, in accordance with these Terms. We reserve all other rights not expressly granted to you.

5. User Content & Generated Outputs

5.1. Your Content. You retain ownership of the images, prompts, and other materials you upload to the Service ("User Content").

5.2. License to Us. You grant RioBlocks a worldwide, non-exclusive, royalty-free, sublicensable license to transiently process, reproduce, and transmit your User Content solely as necessary to generate your Outputs and operate the Service. We will not use your User Content for model training or marketing unless you explicitly opt-in.

5.3. Your Responsibilities & Warranties.

You represent and warrant that:

• (a) You own or have all necessary rights, permissions, and consents to use your User Content with the Service, especially any content that includes the name, image, voice, or likeness of a real person (including celebrities).
• (b) Your use of the Service and your User Content will comply with all applicable laws, including copyright, trademark, privacy, and right of publicity laws.

5.4. Generated Outputs.

As between you and us, and to the maximum extent permitted by law, you own the images and other content generated by the AI from your User Content ("Outputs"). We assign to you any copyright we might have in your specific Outputs. However, you acknowledge that:

• (a) Outputs may be similar to those of other users.
• (b) Your ownership is subject to any third-party rights that may be present in the Output (e.g., likeness of a person, logos, or underlying artworks).
• (c) You are solely responsible for how you use the Outputs and for clearing any third-party rights required for your intended use. We make no guarantee that Outputs are non-infringing or fit for any purpose.

5.5. Data Handling and Storage.

We are committed to your privacy and handle your data as follows:

• (a) Uploaded Images: Your uploaded images are transmitted to our processing servers solely for the purpose of generating your Output. This data is held temporarily in memory during the generation process and is permanently deleted immediately after the process completes. We do not store your uploaded images on our servers.
• (b) Prompts: You may choose to save your prompts either locally on your device or in our servers on your account. By default, prompts are saved in our servers on your account for your convenience. You can change this setting in your profile preferences at any time. Prompts saved in our servers on your account are encrypted, accessible only by your account, and are not used for any other purpose, including model training or service improvement.
• (c) Outputs: The generated Outputs are delivered directly to your device. We do not keep a copy of your Outputs on our servers. You are solely responsible for saving and securing your Outputs on your own local storage or device.

6. Content Standards, Moderation, & Acceptable Use

You agree not to use the Service to create, upload, or share any content that is:

• (i) Illegal, harmful, or promotes illegal acts.
• (ii) Exploitative or abusive towards minors.
• (iii) Intended to harass, defame, dox, or cause real-world harm to individuals.
• (iv) Malware, viruses, or designed to compromise the security of the Service.
• (v) In violation of any third-party’s rights, including intellectual property, privacy, or publicity rights. Using a real person’s likeness without their consent is a violation of these terms.

Content Moderation.

To enforce these standards, all User Content you provide and the Outputs generated by the Service may pass through an automated content moderation system that runs entirely on our own servers. No third-party services or humans have access to your content during the moderation process. This system is designed to detect and prevent the creation of content that appears to be illegal, explicit, or otherwise in violation of these Terms.

Disclaimer.

You acknowledge that automated systems are not perfect. This moderation may occasionally fail or misclassify content. You remain solely responsible for your User Content. Furthermore, due to the unpredictable nature of generative AI, Outputs may sometimes be unexpected. We are not responsible for the Outputs you generate, and you use the Service at your own risk. We reserve the right to suspend or terminate accounts that repeatedly violate these standards, whether detected by our automated systems. We may log information about account IDs that violated these standards, along with the AI moderation agent's response explaining why the content was blocked, without storing the associated images, for security and enforcement purposes.

7. Fees, Credits, Payments, and Refunds

7.1. Credits. Certain features of the Service, such as image generation, require the use of "Credits." The number of Credits required for a specific action will be displayed to you within the Service.

7.2. Acquiring Credits.

You can acquire Credits in several ways:

• (a) Purchased Credits: You may purchase Credits directly.
• (b) Subscription Credits: A certain number of Credits may be included in a recurring subscription plan.
• (c) Bonus Credits: We may grant you free or promotional Credits (e.g., a "welcome bonus" upon account creation).

7.3. Credit Consumption.

• (a) Image generation jobs require a variable number of Credits depending on the parameters you select (such as image size, quality, and generation mode). The exact Credit cost will be displayed to you before you initiate the job. Credits are deducted from your account immediately upon submitting the job to the processing queue.
• (b) Credits are consumed in an order that prioritizes using the ones that will expire soonest first.

7.4. Credit Expiration.

• (a) Purchased and Bonus Credits expire after a set period following their grant or purchase. Purchased Credits expire three hundred sixty-five (365) days (one year) after they are purchased to comply with applicable gift card and prepaid credit regulations, unless otherwise specified at the time of purchase. Bonus Credits expire ninety (90) days after they are granted, unless otherwise specified in the promotion or campaign details.
• (b) Subscription Credits expire at the end of each subscription period and do not roll over, unless stated otherwise in the plan details.
• Expired Credits are non-refundable and hold no cash value.

7.5. Payments & Subscriptions.

• (a) We use Stripe as our third-party payment processor. By making a purchase, you agree to be bound by Stripe’s terms of service. We do not store your full payment card information.
• (b) Subscriptions auto-renew at the end of each billing cycle. You must cancel your subscription through your account settings before the renewal date to avoid future charges.

7.6. Refund Policy & Right of Withdrawal.

• (a) General Policy: Except as described below or where required by law, all purchases of Credits and subscriptions are final and non-refundable.
• (b) EU/UK Right of Withdrawal: If you are a consumer in the European Union (EU), European Economic Area (EEA), or the United Kingdom (UK), you have a statutory right to withdraw from a purchase within 14 days. However, when you purchase digital content (like Credits) or digital services (like a subscription), you acknowledge and consent that the delivery of the service or content begins immediately. By completing your purchase, you expressly waive your 14-day right of withdrawal.
• (c) Job Failures: If an image generation job fails due to a system error, we may refund the Credits consumed for that job. We will make reasonable efforts to investigate reported issues and issue refunds where appropriate, but we are not obligated to provide refunds in all cases of failure.
• (d) No refund is provided for jobs that complete successfully, or for jobs that fail due to user error (e.g., invalid prompts or unsupported content).

7.7. Feedback and Bonus Credits.

• (a) You may provide feedback on your generated Outputs through our feedback system. When you submit feedback, you authorize us to access and review the images associated with that specific generation job to enable accurate evaluation and service improvement.
• (b) RioBlocks may, at its sole discretion, award bonus Credits to users who provide valuable feedback. The decision to award bonus Credits, and the amount awarded, is entirely at our discretion and does not constitute an entitlement or obligation.
• (c) Feedback Data Handling: Content you submit as feedback (including images and comments) is stored securely on our servers and used solely to improve our services, evaluate system performance, and address technical issues. We do not share your feedback data with third parties. This feedback data is subject to our standard retention policies and may be retained for a reasonable period to facilitate service improvements.

8. Disclaimers & Limitation of Liability

Disclaimers. THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF NON-INFRINGEMENT, MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE.

Liability Cap. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US FOR THE SERVICE IN THE 12 MONTHS PRIOR TO THE CLAIM. WE ARE NOT LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.

9. Indemnity

You agree to defend, indemnify, and hold harmless RioBlocks (the operator of AfterPic), its affiliates, officers, directors, employees, and agents from any claims, damages, and expenses (including reasonable attorneys' fees) arising from: (i) your User Content or Outputs; (ii) your use of any third-party IP or a person's likeness without proper rights; or (iii) your breach of these Terms or applicable law.

10. Termination

You may stop using the Service at any time. If you choose to delete your account, all Credits associated with your account (including Purchased Credits, Subscription Credits, and Bonus Credits) will be permanently forfeited and cannot be recovered or transferred. If you recreate an account using the same email address or authentication provider, you will start with a new account and will not receive any Credits from your previously deleted account.

We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, for any reason, including for a breach of these Terms. Sections that by their nature should survive termination (including 5, 6, 7, 8, 9, and 11) will survive.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of [Jurisdiction, e.g., the State of Delaware, USA, without regard to its conflict of laws rules. Final jurisdiction to be determined by your legal counsel]. Any disputes arising from these Terms will be resolved in the courts of [City and Country, e.g., Wilmington, Delaware, USA].

12. Miscellaneous

Changes to Terms. We may update these Terms. If we make material changes, we will notify you in-app or by email. Your continued use of the Service after the changes take effect constitutes your acceptance.

Entire Agreement. These Terms and our Privacy Policy constitute the entire agreement between you and RioBlocks regarding the Service.
